TERMS AND CONDITIONS OF USE

1. ACCEPTANCE OF TERMS

This agreement ("Agreement") is legally binding between Pawlabs LLC, a New Mexico Limited Liability Company ("Company", "we", "us", or "our") and you ("User", "you", or "your"). By accessing our website, purchasing products, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must cease use of our services immediately.

2. ELIGIBILITY AND ACCOUNT SECURITY

  • Age Requirement: You must be at least 18 years of age to use our services.

  • Account Responsibility: If you create an account, you are solely responsible for maintaining the confidentiality of your credentials. Pawlabs LLC is not liable for unauthorized access to your account resulting from your negligence.

  • Accuracy of Information: You agree to provide true, current, and complete information during the registration and checkout process.

3. INTELLECTUAL PROPERTY RIGHTS

The Service and its original content, features, and functionality are and will remain the exclusive property of Pawlabs LLC.

  • Trademarks: The name "Pawlabs", the logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pawlabs LLC.

  • Prohibitions: You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from any information or software obtained from Pawlabs LLC without express written consent.

4. PRODUCT SALES AND PAYMENTS

  • Product Availability: We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice.

  • Billing: We use third-party payment processors. By submitting your payment information, you grant us the right to provide that information to these third parties to facilitate the completion of your purchase.

  • Taxes: Pursuant to New Mexico law, purchases may be subject to Gross Receipts Tax (GRT) based on the location of the transaction or delivery.

5. SHIPPING, TITLE, AND RISK OF LOSS

All business is conducted on an F.O.B. Shipping Point basis. This means that the risk of loss and title for such items pass to you upon our delivery of the goods to the carrier (UPS, FedEx, USPS, etc.). Pawlabs LLC is not responsible for delays caused by the carrier or customs authorities.

6. USER-GENERATED CONTENT

If you post reviews, comments, or photos on our platforms, you grant Pawlabs LLC a non-exclusive, royalty-free, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, and display such content throughout the world in any media. You represent that you own or control all rights to the content you post.

7. PROHIBITED USES

You are prohibited from using the site or its content:

  1. For any unlawful purpose.

  2. To solicit others to perform or participate in any unlawful acts.

  3. To violate any international, federal, or state regulations, rules, or laws.

  4. To harass, abuse, insult, harm, defame, slander, or intimidate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

  5. To upload or transmit viruses or any other type of malicious code.

8. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

  • "As Is" Basis: Our services and products are provided 'as is' and 'as available' for your use, without any representation, warranties, or conditions of any kind, either express or implied.

  • Liability Cap: In no case shall Pawlabs LLC, our members, employees, or affiliates be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, or loss of data, arising from your use of any of the service or any products procured using the service.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Pawlabs LLC and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service.

10. DISPUTE RESOLUTION (ARBITRATION)

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.

  • Venue: The arbitration shall take place in Albuquerque, New Mexico.

  • Class Action Waiver: You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action.

11. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

12. SEVERABILITY AND TERMINATION

If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. We reserve the right to terminate your access to the Service at any time, without notice, for conduct that we believe violates these Terms.
